## WebyCash Terms of Service **Effective Date: February 9, 2026** Thank you for choosing WebyCash (the "Site" or "WebyCash"), operated by WebyCash S.A., a corporation organized under the laws of the Republic of Panama (referred to herein as "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Site and the services provided thereon (the "Services"), which consist solely of facilitating non-custodial, peer-to-peer (P2P) sales of webcash (as defined and issued by Webcash LLC, a Wyoming Limited Liability Company) in exchange for Bitcoin payments via the Lightning Network (LN), with transactions limited to a maximum of 1,500,000 satoshis (sats) per transaction. Transactions are instant upon confirmation of Bitcoin payment. By accessing or using the Site or Services, including clicking "I Agree" or similar acceptance mechanisms before initiating a purchase, you (referred to herein as "you" or "your") agree to be bound by these Terms. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE SITE OR SERVICES. These Terms incorporate by reference the Webcash LLC Terms of Service (available at [webcash.org/terms](https://webcash.org/terms)), as amended from time to time (the "Webcash Terms"). In the event of any conflict between these Terms and the Webcash Terms, these Terms shall prevail with respect to your use of WebyCash Services. You acknowledge that you have read, understood, and agree to the Webcash Terms, including all risks, disclaimers, and limitations therein. ### 1. Eligibility and User Representations To use the Services, you represent and warrant that: - You are at least 18 years of age or the age of majority in your jurisdiction, whichever is higher, and have the legal capacity to enter into these Terms. - You are not located in, a resident of, or a national of any prohibited jurisdiction, including but not limited to: the European Union (EU) and European Economic Area (EEA) member states (Austria, Belgium, Bulgaria, Croatia, Cyprus, Czechia, Denmark, Estonia, Finland, France, Germany, Greece, Hungary, Ireland, Italy, Latvia, Lithuania, Luxembourg, Malta, Netherlands, Poland, Portugal, Romania, Slovakia, Slovenia, Spain, Sweden, Iceland, Liechtenstein, Norway), the United Kingdom, Russia, China, Iran, North Korea, Myanmar, Algeria, Bangladesh, Egypt, Nepal, Bolivia, Morocco, Afghanistan, Pakistan, Tunisia, Syria, Cuba, Venezuela, or any other jurisdiction where access to or use of the Services is prohibited by applicable laws or sanctions. - You are not a sanctioned person or entity under any applicable sanctions regimes, including those administered by the United Nations, European Union, United States (e.g., OFAC), or Panama. - Your use of the Services complies with all applicable laws in your jurisdiction. - You are solely responsible for any taxes, duties, or reporting obligations arising from your transactions. We reserve the right to restrict access based on IP address, geolocation, or other indicators to enforce these prohibitions. Attempts to circumvent restrictions (e.g., via VPN) may result in immediate termination of access without notice. ### 2. Description of Services - The Services enable you to purchase webcash directly from us in a non-custodial, P2P manner. You initiate a transaction by sending Bitcoin via LN to a provided invoice address. Upon instant confirmation (typically within seconds), we release the corresponding webcash secret to you. - Transactions are limited to 1,500,000 sats (approximately $1,000 USD equivalent, subject to market fluctuations) per transaction. We do not offer purchases, redemptions, or any other services. - All webcash is subject to the Webcash Terms, including its nature as a bearer-like digital instrument with no backing, redemptions, or guarantees. WebyCash does not issue webcash; we merely sell pre-existing webcash obtained through mining or other means compliant with the Webcash protocol. - The Site operates on a sell-only basis; we do not buy back webcash or facilitate third-party transfers. ### 3. Risks and Disclosures You acknowledge and accept all risks associated with the Services, including but not limited to: - **Volatility and Loss**: Cryptocurrencies like Bitcoin and webcash are highly volatile. Values may fluctuate dramatically, and you may lose the entire value of your purchase. - **Technological Risks**: LN transactions may fail due to network congestion, errors, or hacks. Webcash is a bearer asset; loss of secrets results in permanent loss. - **No Guarantees**: We do not guarantee transaction success, webcash value, or Site availability. Services are provided "as is" without warranties of any kind. - **Regulatory Uncertainty**: The legal status of webcash and related activities may change. You are responsible for compliance in your jurisdiction. - **Third-Party Risks**: Transfers occur P2P; we have no control over Bitcoin wallets, LN nodes, or webcash wallets. - Refer to the Webcash Terms' Risk Disclosure Statement for additional details, which you agree apply fully. ### 4. Payment and Transactions - The Services allow the purchase of webcash in amounts starting from a minimum of 10 webcash per transaction. - The maximum amount per transaction is 1,500,000 satoshis (1,5 million sats) via the Lightning Network or Bitcoin. - For reference only: at typical market rates as of early 2026, 1,500,000 satoshis is roughly equivalent to USD 1,000. The actual USD value depends on the Bitcoin price at the time of the transaction and is not guaranteed. - We reserve the right to refuse, cancel or limit any transaction that falls below the minimum or exceeds the maximum, or for any other reason at our sole discretion. - All transactions are final and irreversible once the webcash secret is released to you. - You are responsible for all Lightning Network fees and for ensuring the correct payment amount and invoice are used. ### 5. Prohibited Uses You agree not to use the Site or Services for any prohibited purpose, including but not limited to: - Violating any applicable laws, including AML, CTF, sanctions, or anti-corruption laws. - Disguising illicit proceeds, engaging in money laundering, terrorist financing, or sanctions evasion. - Using the Services from prohibited jurisdictions or as a sanctioned person. - Interfering with the Site (e.g., hacking, DDoS). - Engaging in fraudulent activities, such as double-spending or spoofing. - Any other use outlined as prohibited in the Webcash Terms. Violation may result in immediate termination, reporting to authorities, and forfeiture of any webcash. ### 6. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEBCASH S.A., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR WEB CASH VALUE, ARISING FROM YOUR USE OF THE SITE OR SERVICES, EVEN IF ADVISED OF SUCH POSSIBILITY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE RELEVANT TRANSACTION. ### 7. Indemnification You agree to indemnify and hold harmless WebyCash S.A., its affiliates, and representatives from any claims, losses, damages, liabilities, or expenses (including attorneys' fees) arising from your breach of these Terms, violation of laws, or use of the Services. ### 8. Dispute Resolution These Terms are governed by the laws of the Republic of Panama, without regard to conflict of laws principles. Any disputes shall be resolved exclusively through binding arbitration in Panama City, Panama, under the rules of the Panama Conciliation and Arbitration Center. You waive any right to class actions or jury trials. ### 9. Amendments and Termination We may amend these Terms at any time by posting updates on the Site. Continued use constitutes acceptance. We may terminate or suspend your access at any time without notice. ### 10. Miscellaneous - **Severability**: If any provision is invalid, the remainder remains in effect. - **No Waiver**: Failure to enforce any right does not constitute a waiver. - **Entire Agreement**: These Terms, incorporating the Webcash Terms, constitute the full agreement. - **Contact**: For questions, contact [support@webycash.com] (or equivalent).
